Important: Please read these Terms of Service carefully before using Depot Wide. By installing, accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Definitions
In these Terms: "Depot Wide", "we", "us" or "our" refers to Depot Wide, operated by Knotica; "Service" means the Depot Wide delivery management application, including all web interfaces, APIs, and associated services; "Merchant" or "you" means any business or individual who installs or uses the Service; "Driver" means any individual who uses the driver portal; "Customer" means any end customer of the Merchant; "Shopify" means Shopify Inc. and its platform.
2. Eligibility and Account Registration
You must be at least 18 years old and have legal capacity to enter into contracts to use the Service.
You must be registered on the Shopify platform and comply with Shopify's Terms of Service.
You are responsible for maintaining the confidentiality of your account credentials.
You are responsible for all activities that occur under your account.
You must provide accurate, current and complete information during registration and keep it updated.
3. The Service
Depot Wide provides a delivery management platform that integrates with Shopify to:
Synchronise orders from your Shopify store
Assign deliveries to drivers
Track deliveries in real-time via GPS
Generate delivery labels and documentation
Communicate between merchants, drivers and customers
Record delivery confirmations, signatures and photographs
We reserve the right to modify, suspend or discontinue any aspect of the Service at any time with reasonable notice. We will endeavour to provide 30 days' notice of material changes where possible.
4. Subscription Plans and Payment
The Service is offered on a subscription basis with plans as described on our pricing page.
Subscriptions are billed monthly in advance through Shopify Billing.
All prices are exclusive of VAT unless otherwise stated.
Plan limits (drivers, orders, SMS) apply as described on the pricing page. Exceeding limits may require a plan upgrade.
No refunds are provided for partial months or unused features, except where required by applicable law.
We reserve the right to change pricing with 30 days' notice via email or in-app notification.
Free plans are provided as-is with no service level guarantees.
5. Acceptable Use
You agree not to use the Service to:
Violate any applicable law or regulation, including data protection laws (UK GDPR, DPA 2018)
Process unlawful deliveries or facilitate illegal activities
Transmit harmful, defamatory, or fraudulent content
Reverse engineer, decompile or attempt to extract source code
Share access credentials with unauthorised parties
Overload or disrupt the Service infrastructure
Scrape, harvest or collect data from the Service by automated means
Impersonate Depot Wide or any other person or entity
6. Data and Privacy
Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference. Key points:
You are the data controller for your customers' personal data. We act as a data processor on your behalf.
You must have a lawful basis to share your customers' personal data with us (typically contractual necessity for delivery).
You must maintain an appropriate privacy notice informing your customers that their data is shared with delivery management services.
Driver personal data is processed for employment/contractor management purposes.
We process all personal data in accordance with UK GDPR and the Data Protection Act 2018.
Customer order data, including addresses and contact information, is stored securely and not sold to third parties.
7. Intellectual Property
The Service, including all software, designs, trademarks and content, is owned by Depot Wide or its licensors.
We grant you a limited, non-exclusive, non-transferable licence to use the Service during your subscription.
You retain ownership of your data. You grant us a licence to process your data solely to provide the Service.
You may not use our name, logo or trademarks without our prior written consent.
8. Liability and Warranties
The Service is provided "as is" and "as available" without warranties of any kind, express or implied.
We do not warrant that the Service will be uninterrupted, error-free or free of viruses.
We are not responsible for delivery failures, driver conduct, or the accuracy of GPS data.
Our total liability to you for any claim shall not exceed the total fees paid by you in the 3 months preceding the claim.
We exclude liability for indirect, consequential, incidental or special damages to the fullest extent permitted by law.
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
9. Driver Use
The Merchant is responsible for ensuring drivers comply with applicable employment law, vehicle licensing requirements, and health and safety regulations.
Drivers use the driver portal under authority granted by the Merchant.
GPS tracking of drivers is subject to UK employment law requirements regarding employee monitoring. Merchants must inform drivers of tracking and obtain any required consent.
Depot Wide is not an employer of any driver and accepts no liability for driver conduct.
10. Shopify Compliance
This Service operates as a Shopify application and is subject to Shopify's App Store policies.
In the event of conflict between these Terms and Shopify's terms, Shopify's terms prevail to the extent of the conflict.
We access your Shopify store data only as necessary to provide the Service and as described in our Privacy Policy.
11. Termination
Either party may terminate this agreement by uninstalling the app from Shopify or by giving 30 days' written notice.
We may suspend or terminate your access immediately for breach of these Terms, non-payment, or where required by law.
Upon termination, your data will be retained for 90 days then deleted, unless earlier deletion is requested or required by law.
Clauses regarding liability, intellectual property, and dispute resolution survive termination.
12. Governing Law and Disputes
These Terms are governed by the laws of England and Wales.
Any dispute shall first be subject to good-faith negotiation. If unresolved after 30 days, disputes shall be referred to the courts of England and Wales.
Nothing prevents either party from seeking injunctive relief in any appropriate jurisdiction.
13. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes via email or in-app notification at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance.
